Terms
of Business
Payment
You will receive an invoice following the course. The course fee must be paid in
full no later than 14 working days after receipt of the course invoice.
On receipt of an invoice payment should be made by BACS. Click here for BACS info.
Prices
The prices quoted within the catalogue are correct at the date of publication. LDL
reserves the right to adjust these prices in line with market influences where necessary.
Any such changes to prices will be notified to customers no later than 30 days prior
to the course date.
Transferring Courses
If a delegate wishes to transfer a booking to a later course there will be an administrative
charge:
• Transfers made 30 + working days prior to a course will be charged at 0% of the
course fee.
• Transfers made 29 working days prior to a course will be charged at 100% of the
course fee.
The transfer option only applies to delegates who are transferring to a different
date for the same course.
Delegates must specify their choice of transfer date at the time of transfer.
The option to transfer delegates can only be used once, after which any movement
will be considered cancellation.
Substitute Delegates
You can transfer a place on a course to a substitute delegate free of charge. If
you want to make a substitution please contact sarah.parr2@liverpooldirectlimited.co.uk
and we will be happy to help.
Cancellation of Courses
The following charges will apply if you cancel:
• 21+ working days before a course = 50% course fee
• 1-20 working days before a course = 100% course fee
Cancellations must be received in writing via email to sarah.parr2@liverpooldirectlimited.co.uk
and must contain the full booking details including the organisation name, booking
and delegate contact details
Your cancellation will be confirmed in writing via email along with confirmation
of any fees due.
Cancellation of courses by LDL
LDL reserves the right to cancel a course at any time without liability. In these
circumstances delegates will be offered an alternative date or a full refund.
Programme description
Due to the nature of training courses and our commitment to continuous improvement,
LDL reserves the right to update the course content and or change a trainer, at
any time, in line with market demands.
Programme dates
and venues
LDL reserves the right to alter or cancel published dates and change venues without
liability.
In the event of a cancellation where an alternative cannot be provided, monies received
in respect of that course will be refunded in full.
Joining instructions
On receipt of written confirmation we will issue complete joining instructions detailing
your participation on the training event. This may include learning objectives questionnaire,
a location map, venue details and course timings.
Learning Objectives
Learning objectives questionnaires have been designed to establish individual training
needs. These questionnaires represent an essential part of our course refinement
process and enable the trainers to understand the individual needs of the delegates.
Conditions
LDL means Liverpool Direct Limited
'Fee(s)' means
the fee specified in the Financial Proposal together with VAT thereon at the current
rate from time to time.
'Materials' means the printed materials
provided by LDL for those persons interfacing with any of the services delivered
by LDL whether in person, by correspondence, electronically or otherwise.
LDL has the right to vary or increase
the Fee or Disbursements stated in the Financial Proposal if the Client requests
an alteration to the Financial Proposal after it is made subject to such request
being agreed by LDL. Any such variation or increase will be notified to the Client
by LDL in writing in advance of the services being delivered
In addition to the Fee LDL shall
be entitled to charge Disbursements in accordance with a recommended rate or second
class rail fares or similar for travel to a Client site together with hotel accommodation
for the person or persons delivering the services at the equivalent of [3/4] [half/full]
board rate and such other items as may be reasonably necessary to perform the Services
an estimate of which is identified in the Financial Proposal.
In addition to the Fee a supplement
per person for overnight stays is payable by the Client where indicated on the Proposal.
All sums payable under these Conditions
unless otherwise stated are exclusive of VAT and other duties or taxes.
Any VAT or other duties or taxes
payable in respect of such sums shall be payable in addition to such sums.
All sums due from the
Client which are not paid on the due date (without prejudice to the rights of LDL
under these Conditions) shall bear interest from day to day at the rate of 5% per
month above the daily base lending rate of National Westminster Bank plc.
Delay or Failure to perform Obligations
LDL will not be under any liability
if performance of its obligations under these Conditions is delayed, hindered, or
prevented by any occurrence or reason beyond the reasonable control of the LDL.
If such a problem occurs or appears likely to occur LDL will whenever possible send
a notice in writing to the Client and the Client agrees to grant LDL such reasonable
extra time to overcome the problem as LDL may reasonably request.
Where performance is hindered due
to the default of the Client or its employees, consultants or any attendee upon
any course the Client will reimburse all extra costs, charges and expenses that
LDL directly or indirectly incurs as a result of the delay and in addition the provisions
in respect of cancellation payments shall apply.
Copyright
The Client acknowledges that
all copyright and all other intellectual property rights in all the Materials (on
whatever form of media such material is stored or presented whether electronic or
not t) is the property of LDL.
The Client undertakes not to cause
or permit anything which may compromise weaken damage or in any way endanger the
intellectual property of LDL or LDL’s title to such Intellectual Property or assist
or allow others so to do
Without prejudice to the generality
of the above, the Client shall not reproduce adopt modify or amend any of the Materials
or any parts thereof which are delivered as part of the Services
Confidential
information
Both parties agree that both
during and after performing the Services neither party shall use, disclose compromise
or transfer any confidential information or materials relating to the business or
affairs of the other unless expressly authorised to do so by that other party in
writing or if required so to do by a court with competent jurisdiction or if the
matter has at the time of disclosure previously passed into the public domain.
Liability and
Client Warranties
LDL shall only be liable
to the Client for death or injury or loss or damage to the Client's property due
to the negligence or other failure of LDL to perform its obligations under these
Conditions or under general law.
LDL’s liability to the Client shall
be limited to the cost of the Services (except where such liability arises as a
result of death, personal injury, theft, misappropriation or disclosure of your
intellectual property or confidential information as a result of negligence in which
case LDL’s liability shall be limited to the sum in which it shall then carry insurance
against such risks).
Save as provided above, LDL shall
not be liable for any consequential or economic loss or damage or loss of profit
suffered by the Client or any third party.
The Client acknowledges that the
price for the Services is based upon LDL being able to limit liability in the manner
described in these Conditions.
The Client warrants that it has
or will select only those individuals under their control to whom it is appropriate
and suitable for LDL to provide the Services (having made all reasonable enquiry
before hand in this respect ).
The Client warrants that it will
provide the facilities and other matters detailed in the Proposal to enable LDL
to perform the Services.
Disclosure
of relationship
Both parties undertake not to reveal the details
of the relationship between the parties, including the commercial arrangements,
without prior written agreement of the other.
